1 GENERAL INFORMATION

The purpose of these general terms and conditions is to regulate the relationship between ALPHA-CIM, the supplier of the equipment and services defined in the specific conditions, and its Customer, who places an order for these equipment and services. These general terms and conditions may only be supplemented or modified by the specific conditions included in ALPHA-CIM's offer. They prevail over all the Customer's purchasing conditions unless formally and expressly waived by ALPHA-CIM.
The Contract consists of the following contractual documents, listed in order of priority:

  • The ALPHA-CIM offer and any special conditions;
  • These general conditions of sale and services;
  • The Customer's order.

The offer is valid for 60 days.

 

2 COMPLETION OF SERVICES – ACCEPTANCE

ALPHA-CIM shall notify the Client by letter, fax or e-mail confirmed by letter or any other written means, upon completion. The Client must carry out the acceptance visit in the presence of ALPHA-CIM within 10 days of this notification. If it does not do so, acceptance shall be deemed to have been acquired without reservation on the date of notification of the completion of the work with transfer of risks on that same date.
At the end of this visit, the Client pronounces the decision concerning the acceptance, which may be with or without reservation or refusal of acceptance, and immediately draws up the corresponding report. When the acceptance is accompanied by reservations, and after acceptance of these by ALPHA-CIM, ALPHA-CIM has a period of 30 days to take action to lift them. At the end of these, ALPHA-CIM may, in writing, request the lifting of the reservations; failure by the Client to respond within 10 days shall constitute approval of the lifting of the reservations.

 

3 GUARANTEES

The period and type of ALPHA-CIM warranty are specified in the ALPHA-CIM offer. Unless otherwise specified, the warranty is 12 months (including parts and labor) from the date of receipt and, failing that, from the date of completion of the work/services.
Any warranty is excluded for replacements or repairs resulting from normal wear and tear of the equipment, damage or accidents resulting from negligence, lack of supervision or maintenance and faulty use of this equipment. The replacement of parts or assemblies during the warranty period cannot have the effect of extending the warranty period.

 

4 CONDITIONS AND TERMS OF PAYMENT

Unless otherwise stated in the special conditions, payments will be made in accordance with the following terms:

  • 30% on order,
  • 65% on monthly progress reports on benefits,
  • 5% upon receipt of the work.

The Client will pay ALPHA-CIM by any means of payment at its convenience so that payment is made within 30 days of receipt of the invoice or request for a deposit.
Any late payment automatically bears interest in favor of ALPHA-CIM, at the interest rate applied by the European Central Bank to its most recent refinancing operation plus 7 points. In addition, any delay in the payment of an invoice makes all debts immediately due, even those not yet due, regardless of the payment method provided.
Furthermore, ALPHA-CIM may, 5 days after a formal notice by registered letter with acknowledgement of receipt has remained without effect, suspend the execution of the work until payment of the sums due or terminate the Contract at the exclusive fault of the Client, as stated in article 9.
Where applicable, ALPHA-CIM may, without further formality, automatically offset any debts, even those that are not liquid and due, that it may have against the Client and any sums that it may owe to the Client, for any reason whatsoever.

 

5 SAFEGUARD CLAUSE

In the event that the execution of the contract is changed by the entry into force of legislative, regulatory, fiscal, social provisions or by changes in the economic environment, the Client and ALPHA-CIM will meet to review the prices of the Contract according to these changes. The new prices will take into account these new conditions without the Client or ALPHA-CIM benefiting from these changes. In the absence of agreement on these new prices, ALPHA-CIM reserves the right to terminate the Contract automatically without any other action, including legal action, being necessary.

 

6 RESPONSIBILITY

ALPHA-CIM's liability is strictly limited to the obligations defined by the Contract. Under no circumstances will ALPHA-CIM be liable for any indirect or immaterial damages suffered by the Client, such as, for example, operating losses, loss of business or profits, etc.
ALPHA-CIM's liability is limited, for all causes combined, to the contractual price of the equipment or service which gives rise to the claim.
The Client and its insurers waive any recourse against ALPHA-CIM and its insurers beyond the limits and exclusions mentioned in this article.

 

7 ASSIGNMENT

The Client is not entitled to assign the Contract to third parties, even in part, without the prior written consent of ALPHA-CIM. In the event of a contribution, merger, or change of control, the Client must immediately inform ALPHA-CIM. Within thirty calendar days following the sending of this information, ALPHA-CIM may terminate, at its sole discretion and without having to justify it, the Contract without compensation subject to 1 week's notice. In the absence of information by the Client, ALPHA-CIM may at any time from the occurrence of the transaction terminate the Contract without compensation and without notice.
In all cases of transfer of the benefit of the Contract to third parties, all of ALPHA-CIM's rights resulting from it become enforceable against them, including the right to claim damages. Unless otherwise provided in the Contract, the Client remains jointly and severally liable to ALPHA-CIM for the complete execution of the obligations of the Contract, and in particular for the payment of the price of the Contract.

 

8 MODIFICATION, POSTPONEMENT, CANCELLATION OF ORDER

No modification, postponement or cancellation of an order can be accepted without the prior agreement of ALPHA-CIM. Any cancellation not accepted by ALPHA-CIM will automatically result in the payment of compensation amounting to the amount of expenses incurred and at least 20% of the amount excluding tax of the Contract.

 

9 TERMINATION

The Contract may be terminated automatically by ALPHA-CIM in the following cases:

  • In the event of non-payment on the agreed due date, 5 days after formal notice by registered letter not followed by any action;
  • In the event of non-compliance by the Client with its contractual obligations after formal notice has remained unsuccessful.

 

10 RETENTION OF TITLE CLAUSE

The transfer to the Customer of the risks of the equipment or the work takes place upon delivery, or upon acceptance, even partial, for equipment or part of an installation. The Customer must therefore take out all necessary insurance to cover these risks upon their transfer. Ownership of the equipment sold or the work performed will only be transferred to the Customer once full payment of the price has been made, notwithstanding Articles 551 and 552 of the Civil Code. Failure to pay any of the due dates may result in the reclamation of the goods. The Customer is prohibited from reselling or transforming the equipment or works sold until the price has been paid in full, unless expressly authorized by ALPHA-CIM.

 

11 APPLICABLE LAW

The law applicable to the services covered by these general conditions is French law.

 

12 DISPUTE SETTLEMENT

In the absence of an amicable agreement, it is expressly agreed that any dispute relating to the Contract will fall under the exclusive jurisdiction of the Evry court in the district in which the ALPHA-CIM headquarters is located, even in the event of a warranty claim or multiple defendants.
